Armstrong Teasdale LLP is seeking a mid- to senior-level Lateral Associate with broad-based experience in corporate, mergers and acquisitions, and finance matters to join its Corporate Services Group (CSG) in our St. Louis office. The ideal candidate will have 4+ years of experience managing complex mergers & acquisitions and/or private equity transactions, including but not limited to conducting and managing due diligence processes, drafting and negotiating various transactional documents, and advising clients and working with various third-party advisors and services providers on varied and complex transaction structures. Candidates should have a broad variety of experience working on acquisitions, divestitures, mergers, equity structuring, debt financings, private equity-sponsored transactions, joint ventures, strategic investments, and other sophisticated corporate transactions.

- Simultaneously handles the high-level and strategic aspects of multiple legal matters at different stages of progression, while also managing the day-to-day aspects of the transactions, from inception to conclusion
- Is familiar with and effectively leverages up-to-date technology resources and tools to support a sophisticated transactional practice, and to communicate with clients, colleagues and third parties
- Possess strong attention to detail and good interpersonal skills for communicating with attorneys and clients
- Is able to effectively support multiple partners and client relationships, as well as manage and train more junior associates as part of a sophisticated and dynamic transactional practice
- Demonstrates an ability to work independently and productively, and shows a strong interest in advancing a career in Corporate Services
- Focuses on excellent client service while producing high-quality legal work and meeting minimum billable hour requirements
- Manages client relationships and generates business through group and individual efforts
- Complies with the very highest ethical standards of the legal profession
Required Education: Juris Doctor
Licenses and/or Certifications: Licensed to practice law in good standing in Missouri; must maintain applicable license renewal and CLE requirements
Preferred Experience: 4+ years’ relevant experience at a law firm working on M&A, Private Equity, Corporate Finance and other sophisticated transactional work. The ideal candidate will have substantial experience managing M&A, PE and Corporate Finance transaction structures and processes across multiple industries, in both buy-side and sell-side transactions, involving public, private, strategic and financial parties. The ideal candidate will have substantial experience in managing due diligence processes and reviews; drafting, reviewing and negotiating related corporate and transaction documents such as corporate documents, capital structures, purchase and merger agreements, offering documents, governance documents and financing agreements; and supporting private equity sponsors and portfolio companies throughout their investment lifecycle; and working with companies through all phases of their businesses, from entity formation and corporate structuring to ongoing operational compliance. Experience with commercial contracts, technology contracts, real estate and lending matters, transactional tax basics, international clients and cross-border transactions is a plus.
Supervisory Responsibilities: Indirect - actively utilizes and helps to train support staff or junior associates to ensure client satisfaction
Physical Activity: The employee will be required to sit (or utilize a standing desk) for prolonged periods and work on a computer
Travel Required: Less than 10%
