The firm is a boutique, high-volume corporate and commercial legal practice specialising in sophisticated, high-value transactions, particularly with UHNW individuals. Its core services span mergers & acquisitions, structured finance, property dealings and corporate compliance for family offices, private clients and corporate entities.
Your new role
The firm seeks a client-focused Associate to join its Sydney CBD office on a full-time basis. The successful candidate will apply commercial thinking to complex matters, and work closely with Partners on negotiation, drafting and structuring of commercial transaction documents.
Key Responsibilities

• Manage a diverse commercial caseload under partner oversight, prioritising tasks to meet strict deadlines
• Lead client meetings with high-net-worth individuals, family offices and corporate stakeholders

Draft, review and negotiate:

• M&A documentation, shareholder and security agreements
• Commercial contracts, including licences, distribution and SaaS agreements
• Property instruments such as sale contracts, mortgages, leases and option deeds
• Ancillary deeds of settlement, company resolutions, and variation or transfer documents
• Advise on structuring commercial transactions, corporate compliance and company law
• Interpret and apply relevant laws, regulations and rulings to guide strategic client advice

What you'll need to succeed

Admitted solicitor with at least 1 years' PQE in corporate and commercial law

Demonstrated expertise in drafting complex legal instruments and managing document workflows

Strong analytical and negotiation skills, with meticulous attention to detail

Proven ability to think laterally and apply commercial considerations to legal solutions

Self-starter capable of working independently and integrating seamlessly into a boutique team
